Welcome to SmartLab ("SmartLab", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of our website, services, and software (collectively, the "Service").

1. User Accounts

You retain full ownership of all inventory data, comments, logs, and other information you upload or create in your workspace ("User Content"). We do not claim any ownership rights to your User Content.
However, to provide the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, modify, and display your User Content solely as necessary to operate, maintain, and provide the Service to you.
B. Personally Identifiable Information (PII)
We collect limited PII, such as your email address and name (if provided), for the sole purposes of authentication, account management, billing (if applicable), and providing the Service. We will not sell, rent, or share your PII with third parties for their marketing purposes. Our collection and use of PII are governed by our Privacy Policy.
C. Our Rights to Aggregated & Anonymized Data
This is a core part of our Service. You explicitly understand and agree that we have the right to collect, analyze, and use **Aggregated Data** derived from your use of the Service.

You grant SmartLab an unlimited, irrevocable, worldwide, perpetual, royalty-free right to use, sell, modify, distribute, and create derivative works from this Aggregated Data for any lawful purpose. This includes, but is not limited to:
- Improving the Service's user experience (UX) and user interface (UI).
- Developing our predictive analytics features.
- Publishing industry reports and insights.
- Providing or selling insights to vendors, manufacturers, or other third parties (e.g., "Makerspaces using Brand Y printers experience 20% less downtime").
3. Acceptable Use Policy
You agree not to use the Service for any unlawful purpose or to:
- Upload, post, or transmit any content that is illegal, harmful, or infringing.
- Attempt to gain unauthorized access to our systems or another user's account.
- Reverse engineer, decompile, or disassemble the Service.

6. Limitation of Liability
To the maximum extent permitted by law, SmartLab and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- (a) Your access to or use of or inability to access or use the Service;
- (b) Any conduct or content of any third party on the Service;
- (c) Any content obtained from the Service; or
- (d) Unauthorized access, use, or alteration of your transmissions or content.
In no event shall SmartLab's aggregate liability for all claims relating to the Service exceed the greater of one hundred U.S. dollars ($100.00) or the amounts paid by you to SmartLab in the last 12 months for the Service.
7. Indemnification
You agree to defend, indemnify, and hold harmless SmartLab and its employees, officers, and agents from and against any claims, * liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.
8. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
You agree to resolve any dispute with SmartLab through binding arbitration, not in a court of law. All disputes will be handled individually, and you agree to waive your right to a jury trial and to participate in any class action lawsuit.

We may modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this site or by email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
